TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Weyland-Yutani Corporation, including its subsidiaries, affiliates, and controlled entities (collectively, "Weyland-Yutani," "the Corporation," "we," "us," or "our"). These Terms govern your access to and use of weylandyutani.com and all associated websites, applications, digital platforms, and online services (collectively, the "Services").

By accessing or using the Services, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. USE OF SERVICES

The Corporation grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes in accordance with these Terms. You agree not to:

3. INTELLECTUAL PROPERTY

All content, materials, and intellectual property made available through the Services, including but not limited to text, graphics, logos, trademarks, trade dress, images, software, data, and documentation (collectively, "Corporation Content"), are the property of Weyland-Yutani Corporation or its licensors and are protected by applicable intellectual property laws.

The Weyland-Yutani name, logo, "Building Better Worlds" tagline, and all related names, logos, product and service names, designs, and slogans are trademarks of the Corporation. You may not use such marks without the prior written permission of the Corporation.

Nothing in these Terms grants you any right, title, or interest in any Corporation Content or intellectual property. Any unauthorized use of Corporation Content may violate copyright, trademark, and other applicable laws.

4. USER CONTENT

To the extent the Services permit you to submit, post, or transmit content ("User Content"), you grant the Corporation a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Services and the Corporation's business operations. You represent and warrant that you own or have the rights to grant this license for any User Content you submit.

5. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE CORPORATION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE CORPORATION MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT MADE AVAILABLE THROUGH THE SERVICES.

6. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEYLAND-YUTANI CORPORATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE CORPORATION HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

THE CORPORATION'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO THE CORPORATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Weyland-Yutani Corporation and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

8. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For users accessing the Services from off-world installations, these Terms shall be governed by the Interstellar Commerce Commission Uniform Commercial Code, with the laws of the State of California serving as the residual governing law.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the federal or state courts located in San Francisco County, California, or, for off-world disputes, before the ICC Commercial Arbitration Tribunal. You consent to the personal jurisdiction of such courts and waive any objection to venue.

9. MODIFICATIONS

The Corporation reserves the right to modify these Terms at any time. Material changes will be posted on the Services with an updated effective date. Your continued use of the Services following the posting of modified Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically.

10. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.
