CORPORATE GOVERNANCE

ETHICS & COMPLIANCE

OPERATING WITH INTEGRITY IS NOT A POLICY. IT IS WHO WE ARE.

OUR COMMITMENT

THE FOUNDATION OF TRUST

Weyland-Yutani Corporation's extraordinary influence comes with an extraordinary obligation. The Corporation operates critical infrastructure across hundreds of worlds, employs half a million people, and provides essential services to tens of millions of colony residents. This responsibility demands that every action taken in the Corporation's name reflects the highest standards of ethical conduct.

The Corporation's Ethics and Compliance program is overseen by the Chief Compliance Officer, who reports directly to the Board of Directors' Governance and Nominating Committee. The program encompasses policy development, training, monitoring, investigation, and remediation across all business units and geographies, including off-world operations.

"THE MEASURE OF A CORPORATION IS NOT WHAT IT CAN DO, BUT WHAT IT CHOOSES TO DO."

-- KARL BISHOP WEYLAND, CEO

RESPONSIBILITY

RESPECT

We treat every individual -- employee, colony resident, partner, and community member -- with dignity and respect, regardless of origin, role, or status.

SAFETY

We prioritize the safety of our people, our colony residents, and the public above all commercial considerations. No objective justifies compromising safety.

COMPLIANCE

We comply with all applicable laws and regulations in every jurisdiction in which we operate, and we hold ourselves to standards that exceed legal minimums.

ACCOUNTABILITY

We maintain clear chains of accountability for every decision and every action. We report transparently and accept the consequences of our choices.

CODE OF CONDUCT

CODE OF BUSINESS CONDUCT AND ETHICS

APPLIES TO ALL DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SYNTHETIC PERSONNEL

CONFLICTS OF INTEREST

Employees must avoid situations where personal interests conflict, or appear to conflict, with the interests of the Corporation. All potential conflicts must be disclosed to the Ethics Office and resolved before proceeding.

FAIR DEALING

All business relationships must be conducted fairly and honestly. Employees must not take unfair advantage of customers, suppliers, competitors, or colleagues through manipulation, concealment, abuse of privileged information, misrepresentation, or any other unfair practice.

CONFIDENTIAL INFORMATION

Employees must protect confidential and proprietary information belonging to the Corporation, its partners, and its clients. Unauthorized disclosure of confidential information, including classified research data, is a serious violation subject to disciplinary action and legal consequences.

The Corporation prohibits all forms of bribery, corruption, and improper payments. Employees, officers, and representatives must not offer, pay, solicit, or accept bribes or facilitation payments in any jurisdiction, including off-world installations.

The Corporation is committed to maintaining a workplace free from harassment, discrimination, and intimidation. All employees are entitled to a safe, respectful, and inclusive work environment regardless of race, gender, national origin, age, religion, disability, or any other protected characteristic.

ENVIRONMENTAL STEWARDSHIP

Employees must conduct operations in an environmentally responsible manner. This includes adherence to environmental regulations, minimization of waste and emissions, and responsible management of terraforming and atmospheric processing operations.

POLITICAL ACTIVITIES

The Corporation does not make political contributions. Employees may engage in personal political activities on their own time, but must not represent personal political views as those of the Corporation.

USE OF CORPORATE ASSETS

Corporate assets, including equipment, facilities, intellectual property, and data systems, must be used for legitimate business purposes. Personal use must be incidental and must not interfere with job performance or compromise Corporation resources.

SPECIAL PROVISIONS

SYNTHETIC PERSON ETHICS FRAMEWORK

Weyland-Yutani Corporation recognizes the unique ethical considerations arising from the development and deployment of synthetic persons. The Corporation maintains a dedicated Synthetic Ethics Board, composed of ethicists, legal scholars, cognitive scientists, and community representatives, that reviews all aspects of synthetic person design, programming, deployment, and decommissioning.

Key principles governing synthetic person operations include:

  • Transparency: Synthetic persons are identified as synthetic in all professional interactions. Deception regarding synthetic status is prohibited.
  • Behavioral Safety: All synthetic persons are programmed with foundational behavioral constraints that prioritize human safety above all other directives.
  • Data Handling: Synthetic persons adhere to all data protection policies. Information collected during interactions is subject to the Corporation's Privacy Policy.
  • Dignified Treatment: While synthetic persons are corporate assets, the Corporation requires that all personnel treat synthetic persons with professional respect.
  • Regular Review: Cognitive and behavioral parameters are reviewed annually by the Synthetic Ethics Board to ensure continued alignment with ethical standards.
